Please read this Document carefully:

This Document outlines the standard contractual terms and conditions (the “Terms”) that apply to the provision of DJ Equipment and performance of DJ Services, to the entity identified on the Order Form (“you”), by Clinton Brooks, Jr. professional and hereinafter referred to as “DJ Siege”.

 The Terms are incorporated into the Order Form and together, the Order Form and these Terms are the “Agreement” between DJ Siege and you. 

You acknowledge that you have read, understood and agrees to be bound by all of the terms and conditions contained in this Agreement.

1. Order Form Definition
An “Order Form” means any Form provided by DJ Siege and signed by you, citing your identification information, the Event details where DJ Siege shall provide the DJ Equipment and perform the DJ Services.

2. DJ Equipment and DJ Services
a) DJ Siege shall deliver the DJ Equipment and perform the DJ Services specified on the Order Form, beginning and ending on the Event Start Time and End Time listed on the Order Form.

b) DJ Siege shall arrive approximately 30 minutes to 1 hour before the Event is scheduled to begin, so as to fully set up the DJ Equipment and perform sound checks and rehearsals, as appropriate.

c) DJ Siege shall have the DJ Equipment fully operational for a minimum of 99% during the Event, except for interruptions such as loss of power etc. In addition, DJ Siege will require a 1-hour period after conclusion of the Event to remove the DJ Equipment.

3. Total Cost
a) The Total Cost for the DJ Services, including the Deposit Fee and the Balance Fee shall be as set forth in the Order Form.

b) You agree to pay DJ Siege, the Total Cost specified in the Order Form, in two installments as follows: 

You agree pay the Deposit Fee, within a period of 5 days after signing the Order Form;

You agree to pay the Balance Fee immediately after the Event concludes.

c) All Payments must be made to DJ Siege through any of the following payment methods: Cash, Bank Transfer or other agreed upon methods.

d) DJ Siege reserves the right to not schedule the Event Date until you pay the Deposit Fee.

4. Over Time
a) If the DJ Services exceeds the period indicated in the Order Form, over time charges will be billed at an hourly rate of $100.00 per hour for each hour beyond the Event End Time.

b) Payment for any over time must be made together with the Balance Fee.

5. DJ Equipment Access Space and Power Outlet
a) You will be required to arrange for an appropriate space for the DJ Equipment and DJ, at the Event Location. The space must be level, dry and free from wind, and should include a suitable table.

b) You must also ensure that sufficient power is available for the DJ Equipment.

6. Event Changes / Cancellations
a) Any request for a change in Event Date must be made in writing at least 14 days in advance of the original Event date. Change is subject to DJ Equipment availability and receipt of a new Agreement. If there is no availability for the alternate date, the Deposit Fee shall be forfeited and event canceled. 

b) Any cancellation occurring less than 14 days prior to the event shall attract a $100.00 cancellation fee.

c) The Deposit Fee is nonrefundable.

7. Damage to Equipment
You acknowledge and agree that you will be responsible for any damage or loss to the DJ Equipment, caused by: Any misuse of the DJ Equipment by you or your guest or any theft or disaster e.g fire, floods.

8. Permits
You shall be responsible for acquiring all permits and necessary permission for the Event Location where DJ Siege is to locate the DJ Equipment and perform the DJ Services.

9. Indemnification
a) You agrees to defend, indemnify and hold harmless DJ Siege from and against any and all losses, liability claims, damages, injuries, demands, actions and causes of action whatsoever, arising out of or related to any loss, damage or injury claimed by persons that may arise from the use or operation of the DJ Equipment, and DJ Siege’s presence.

b) You shall assume all costs and expenses of every kind and nature, including legal fees and disbursements arising out of and in connection with the use or operation of the DJ Equipment and DJ Siege’s presence.

10. Limitation of Liability
a) DJ Siege shall not be responsible for any direct, incidental, or consequential damages causing either bodily injury or property damages, regardless of the cause, during the Event.

b) Notwithstanding any language to the contrary contained in this agreement, DJ Siege's liability to you shall not exceed the total of any payments made by you pursuant to this Agreement.

11. Governing Law
a) This Agreement shall be construed and enforced according to the Laws of the State of Pennsylvania

b) Any dispute or difference which may arise between the parties concerning interpretation of this Agreement or in relation to any matter arising under this Agreement, shall be settled amicably and in good faith between the parties prior to resorting to arbitration, in Philadelphia County, Pennsylvania, in accordance with the procedures, rules and regulations of the American Arbitration Association.  

12. Term of Agreement
This Agreement will take effect on the Date you sign the Order Form and will remain in effect until you have paid DJ Siege, the Balance Fee including any overtime charges.

13. Severability
If any term of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then this Agreement, including all of the remaining terms, will remain in full force and effect.

14. Entire Agreement, Modification;
This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and may be modified only by a writing signed by both parties.

15. Counterparts
The exchange of copies of this Agreement and original signatures by electronic mail transmission shall constitute effective execution and delivery of this Agreement as to the parties and may be used in lieu of the original Agreement for all purposes.
